1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (referred to as "you" or "user") and Stellaris Productions, located at 42 Aurora Lane, Suite 200, Silicon Valley, CA 94040 (referred to as "we," "us," or "our"). By accessing or using the Stellaris Productions website (the "Site") or any services offered by Stellaris Productions (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Site or Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Use of the Site

1. Eligibility: You must be at least 18 years old to use this Site. By using this Site, you represent and warrant that you are 18 years of age or older.
2. Permitted Use: You are granted a limited, non-exclusive, and revocable license to access and use the Site for your personal or internal business purposes, subject to these Terms.

The Site and its original content, features, and functionality (including, but not limited to, text, graphics, logos, images, and software) are owned by Stellaris Productions and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, modify, distribute, or publicly display any of the content on the Site without our prior written consent. 4. Services Offered

Stellaris Productions offers a range of video production services, including but not limited to corporate video production, animation, event coverage, post-production, aerial videography, and scriptwriting. The specifics of each service, including pricing, timelines, and deliverables, will be outlined in a separate service agreement. We reserve the right to modify or discontinue any service at any time without notice.

5. Client Responsibilities

If you engage Stellaris Productions for video production services, you agree to the following:

1. Provide Accurate Information: You will provide accurate and complete information regarding your project requirements, including objectives, target audience, brand guidelines, and any relevant deadlines.
2. Approval Process: You will actively participate in the approval process, providing timely feedback on scripts, storyboards, and drafts. Delays in approval may impact project timelines.
3. Payment: You will adhere to the payment schedule outlined in the service agreement. Late payments may result in project delays or termination.
4. Rights and Clearances: You are responsible for obtaining all necessary rights and clearances for any third-party materials used in your video, including music, footage, and trademarks.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Stellaris Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site or Services; (b) any conduct or content of any third party on the Site or Services; (c) any content obtained from the Site or Services; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall Stellaris Productions' aggregate liability for all claims relating to the Site or Services exceed the amount you paid to Stellaris Productions for services in the twelve (12) months preceding the claim.

Example scenario: Suppose a client, "Dynamic Solutions," experiences a delay in their video production due to unforeseen circumstances. While Stellaris Productions works diligently to mitigate the impact, the delay results in a postponed product launch for Dynamic Solutions. According to this Limitation of Liability, Stellaris Productions is not liable for the consequential damages incurred by Dynamic Solutions due to the postponed launch, such as lost potential revenue.

7. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Site or Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Silicon Valley, California. The decision of the arbitrator shall be final and binding on both parties. You agree that any cause of action arising out of or related to these Terms or the Site or Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

8. Governing Law

9. Changes to Terms

Stellaris Productions reserves the right to modify or update these Terms at any time without prior notice. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms. 11. Termination

Stellaris Productions reserves the right to terminate your access to the Site and Services at any time, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.

13. Waiver

The failure of Stellaris Productions to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
